Job Description We are looking for a Contracts Lawyer to join our Legal team based in Geneva, which provides legal support to Trading \u0026amp; Shipping divisions at TOTAL.

As Contract Lawyer, you will be closely working with trading teams and support functions to legally secure and minimize the risks of the transactions entered into by the Trading Direction. You will coordinate the various activities of Trading Division (Trading, Operations, Credit, Tax …) in order to improve efficiency and security.

Your Responsibilities:

Your missions would typically include the following:

  • Providing contractual advice to Traders at the time of deal conclusion, drafting and sending the term contracts to the counterparties and negotiating the contractual and legal aspect of the deals (Crude, petroleum products, biofuels, LPG and/or petrochemical products), ensuring that the correspondence concerning the contracts is dealt with in a timely manner, providing tenders’ risk review upon request and drafting offers if needed, and coordinating all the inputs of the involved departments (Credit / Taxes / Ops / Shipping / Demurrage);
  • Helping Trading Operators to draft/amend ‘spot’ contracts (contracts covering only one delivery) by giving them a legal support;
  • Developing master agreements with counterparts;
  • Ensuring a good usage of the General Terms and Conditions (GTC’s) governing each transaction and from time to time analysing them (in particular risks exposure) and commenting them upon request;
  • As per internal procedures, ensuring all term and storage contracts (including amendments and appropriate authorities obtained) are duly electronically recorded in the internal database(s) and accessible to relevant departments and ensuring all term contracts reflect the terms agreed as recorded in the deal capture system;
  • Creating templates to support Trading Operators activity where appropriate and keeping existing templates updated.
  • Maintain our internal Clause-list system updated.
