Activities

Assist the Company Secretary in ensuring that all statutory books and registers of the companies are maintained and all statutory filings completed and submitted on a timely basis, in order to meet the requirements of all statutory bodies
Assist the Legal manager and legal advisors
Undertake activities relating to third party asset transfer
Provide legal support in preparation for running/attending data rooms
Undertake legal research
Provide legal support to designated departments
Check and give comments to standard leases
Check and give comments to standard Confidentiality agreements
Manage co-ordination of section 29 notices and other notices received through the DECC Oil Portal
Manage Administration of the PEARS System through the DECC Oil Portal
Follow-up of IS needs and use. IS correspondent for the department
Maintenance of the UK chart of companies involving all E&P, downstream, midstream and chemicals UK subsidiaries of the group (contacts, track of information)
Carry out title due diligence
The job holder is expected to become fully familiar with those elements of the Competence Dictionary that explain the behaviours required at their Level and to apply those behaviours in undertaking their post.

Context and environment

The job-holder carries out the day-to-day work and duties relating to: (i) the Company Secretarial function, in liaison with the other members of the Legal Department and (ii) the provision of general legal support to the other members of the legal department and other internal departments.


Accountabilities

Assist in meeting the legal and commercial requirements of the Company.


Qualifications/Experience required

Practical experience of company secretarial work
Good understanding of the essentials of Company Law
Excellent written communications skills and basic legal drafting ability
Expert knowledge of the corporate structure of the UK Group of companies, their directors and officers
First class administrative and organisation skills to ensure strict deadlines are met
Ability to act with reasonable degree of autonomy, setting own priorities with regard to day-to-day work requirements
