Over the past year, BP has established a new business, Launchpad, within which future and growing BP businesses and technologies can be evaluated for value proposition and growth, with the goal of proving commercial viability of such businesses and technologies. For those businesses deemed viable, Launchpad will aim to scale up such businesses, with the ultimate goal of creating new material global operating businesses within BP. Launchpad is part of BPs Group Technology Business Development organization and is a fast-moving organization, considering and implementing various financing models for its businesses, invoking a wide range of legal issues as the businesses are taken from evaluation through growth into potentially global operating businesses.

The Counsel BP Launchpad, Alternative Energy, and Ventures role will be a London-based role, with such individual taking primary responsibility within BP Legal for supporting the exciting Launchpad business, with accountability to provide legal advice to Launchpad regarding corporate structuring, corporate governance, transactional activity, and financing arrangements, together with other internal legal subject matter experts.

In addition, this Counsel role will provide support to BPs growing Alternative Energy and Ventures businesses. BP has continued to move forward its Alternative Energy strategy over the past few years, moving into new and exciting areas through innovative business models (such as its acquisition of a 43% interest in Lightsource BP) and continuing to identify, evaluate, and enter into additional business opportunities in the AE space. BP Ventures also continues to effectuate business transactions on behalf of BP in future technologies and businesses, with investments in 2018 exceeding $200 million.

The Counsel BP Launchpad, Alternative Energy, and Ventures role will work with such BP businesses to move forward BPs Alternative Energy strategy, becoming part of the integrated Alternative Energy and Ventures legal team and collaborating with this and other legal teams to provide legal advice to each of those commercial clients. The global AE and Ventures Legal team is based in Houston, Sao Paulo, and London.

Key accountabilities:

As part of the integrated AE and Ventures legal team, Counsel BP Launchpad, Alternative Energy, and Ventures will perform the following activities:

  • Be the legal SPA and take primary responsibility for supporting the BP Launchpad business and the corporate and transactional activity of such organization;
  • support London-based AE and BP Ventures business activities (including AEs Wind, Solar, and Development businesses) together with the AE/Ventures legal team;
  • identify and assess legal issues and risks affecting the various businesses, recommending effective legal strategies for the management of such issues and risks, including corporate governance and corporate structuring;
  • support the negotiation and drafting of complex commercial transactions and documents related to the various businesses, including purchase and sale agreements, joint venture agreements, financing agreements, development agreements, and investment documentation;
  • work with other experts within BP Legal and other functions within BP generally to ensure appropriate mitigation of risk and management of legal issues impacting the commercial clients; and
  • identify and provide client training on commercial legal areas deemed necessary and appropriate.

Essential criteria:

  • Several years of legal experience in a respected law firm or reputed in-house environment;
  • A proven record of leading or providing a significant contribution to the successful completion of numerous transactions/projects/matters;
  • A proven record of providing legal advice to clients and negotiation experience as a legal practitioner;
  • A proven record as an effective member of a legal team, with an ability to collaborate with numerous internal (and external) legal resources to provide critical legal support to the business;
  • Demonstrated ability to provide concise advice on complex matters and to effectively influence clients and other stakeholders;
  • Demonstrated ability to provide calm, measured, and authoritative advice in a complex and fast-paced environment; and
  • The highest professional and ethical standards.

Desirable criteria:

  • Experience with commercial contract drafting and negotiation in private equity, venture investments, or the energy sector especially in relation to renewable energy and/or the power sector;
  • Experience working with start-up companies or in a start-up environment;
  • Experience supporting legal issues involved in corporate structuring, corporate governance, and corporate M&A transactions;
  • Excellent interpersonal, communication, and analytical skills, both in written and spoken English;
  • The ability to prioritize conflicting demands to manage the delivery of legal services across a broad organization, with multiple competing clients and businesses;
  • The ability to self-motivate and motivate others to deliver under pressure;
  • An aptitude for training clients; and
  • Demonstrated strong commitment to BP's values, including safety and creating a diverse and inclusive work environment.
